These Terms of Service govern your use of ALTARICS services and website. By engaging our services, commissioning a project or accessing this site, you agree to be bound by these terms.
ALTARICS provides AI automation, custom software development, robotics consulting and related technology services. The specific scope of work, deliverables, timeline and total price for each client engagement are defined in a separate Client Service Agreement (CSA) signed by both parties. In the event of any conflict between these Terms and a signed CSA, the CSA shall prevail.
By using this website or engaging ALTARICS for services, you confirm that you are at least 18 years old, have the authority to enter into binding agreements on behalf of any business you represent, and agree to these Terms of Service in full. If you do not agree with any part of these terms, you must not use this website or engage our services.
Unless otherwise agreed in writing, a non-refundable deposit of fifty percent (50%) of the total project fee is due before work begins. The remaining balance is due upon project completion and delivery of final files. Invoices are payable within fourteen (14) days of issue. Late payments accrue interest at 1.5% per month from the due date until the date of payment.
ALTARICS reserves the right to suspend work on any engagement where payment is overdue by more than fourteen (14) days. Any costs incurred in collecting overdue payments, including reasonable legal fees, shall be borne by the client.
Upon receipt of full and final payment, the client receives full ownership of all custom deliverables created specifically for their project, including source code, designs and documentation as specified in the CSA. ALTARICS retains ownership of all underlying methodologies, frameworks, proprietary tools, libraries and general techniques used in delivering the services, including any pre-existing intellectual property incorporated into the deliverables.
ALTARICS retains the right to reference the client relationship and describe the general nature of the project in its portfolio and marketing materials, unless the client requests otherwise in writing.
Both parties agree to maintain the confidentiality of all proprietary, sensitive and non-public information shared during an engagement, including but not limited to business plans, technical specifications, customer data and financial information. This obligation applies during and after the engagement and survives the termination of any service agreement. Neither party shall disclose such information to any third party without prior written consent, except as required by law.
ALTARICS warrants that all services will be performed professionally, competently and in accordance with industry standards. ALTARICS does not warrant that any system, software or automation solution will operate without interruption or error, or that it will meet every specific business objective of the client.
ALTARICS expressly disclaims any guarantee of specific business outcomes, revenue increases or operational improvements resulting from the systems we build. Our total aggregate liability to any client for any claim arising from our services shall not exceed the total fees paid by that client in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall ALTARICS be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunity.
The client agrees to provide timely access to any systems, information, personnel or resources reasonably required to complete the project. Delays caused by the client's failure to provide required inputs may result in revised timelines and, where significant, additional fees. The client is responsible for ensuring that any materials provided to ALTARICS do not infringe the intellectual property rights of any third party.
Either party may terminate a service engagement by providing fourteen (14) days written notice to the other party. Upon termination, the client shall pay for all work satisfactorily completed to the date of termination, calculated on a pro-rata basis. Initial deposits are non-refundable once work has commenced. ALTARICS may terminate immediately in the event of material breach by the client, including non-payment.
These Terms of Service are governed by and construed in accordance with the laws of the United States of America. Any disputes arising out of or relating to these terms or any service engagement shall first be addressed through good-faith negotiation between the parties. If not resolved within thirty (30) days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
